ComplyLayer is a software tool designed to help you organise and track your AI compliance activities. Nothing in the ComplyLayer platform or these Terms constitutes legal advice. You should consult a qualified lawyer for advice specific to your organisation's circumstances.
1. Acceptance of Terms
By creating an account, accessing, or using ComplyLayer (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not access or use the Service. These Terms are governed by the laws of England and Wales.
2. Description of Service
ComplyLayer is a software-as-a-service (SaaS) platform that assists businesses in managing their AI compliance obligations. The Service enables customers to:
- · Inventory and classify AI systems by risk level under applicable frameworks
- · Generate and manage compliance documentation (risk assessments, DPIAs, model cards)
- · Track compliance status against the EU AI Act, GDPR, NIST AI RMF and other frameworks
- · Receive alerts about regulatory deadlines and changes
- · Collaborate with team members on compliance tasks
ComplyLayer reserves the right to modify, update, or discontinue any feature of the Service at any time with reasonable notice.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
- · Provide accurate and complete registration information and keep it up to date
- · Use a strong, unique password and enable two-factor authentication where available
- · Notify us immediately at support@complylayer.com if you suspect unauthorised access
- · Ensure that all team members added to your account comply with these Terms
- · Not share your account credentials with individuals outside your organisation
4. Subscription & Billing
Free Trial. New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using the Service.
Billing. Paid subscriptions are billed monthly or annually in advance. All prices are in GBP and exclude VAT where applicable. We will charge the payment method on file on the billing date.
Cancellation. You may cancel your subscription at any time from the Settings page in your account. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable law.
Price Changes. We will give you at least 30 days' notice before increasing subscription prices. Continued use after the effective date constitutes acceptance of the new price.
Failed Payments. If a payment fails, we will retry over 7 days and notify you by email. If payment is not received within 14 days, we may suspend access to the Service until payment is received.
5. Acceptable Use
You agree not to:
- · Use the Service in violation of any applicable law or regulation
- · Attempt to gain unauthorised access to any part of the Service or its infrastructure
- · Reverse engineer, decompile, or disassemble any part of the platform
- · Scrape, crawl, or use automated means to extract data from the Service
- · Upload or transmit malware, viruses, or any code designed to disrupt the Service
- · Use the Service to process data that you do not have the right to process
- · Resell, sublicense, or otherwise exploit the Service for third-party commercial benefit without written consent
6. Intellectual Property
Your Data. You retain all ownership rights to the data you input into ComplyLayer, including your AI system inventory, uploaded documents, and compliance records ("Customer Data"). By using the Service, you grant us a limited, non-exclusive licence to process Customer Data solely to provide the Service to you. We will never use your Customer Data to train AI models or share it with other customers.
Our Platform. ComplyLayer owns all intellectual property rights in the Service, including the software, design, documentation, and all AI compliance frameworks and templates we have created. Nothing in these Terms transfers any ownership of our intellectual property to you.
Feedback. If you provide us with suggestions or feedback about the Service, we may use that feedback without restriction or compensation.
7. Not Legal Advice — Disclaimer
IMPORTANT: ComplyLayer provides software tools and information to help you organise your compliance activities. The platform, its content, templates, and any AI-generated suggestions are provided for informational and organisational purposes only and do not constitute legal advice. ComplyLayer is not a law firm and is not regulated as one.
Compliance requirements vary by jurisdiction, sector, and the specific nature of your AI systems. You are solely responsible for ensuring that your organisation complies with applicable laws and regulations. We strongly recommend that you obtain advice from qualified legal counsel with expertise in AI and data protection law.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- · The Service is provided "as is" and "as available" without warranties of any kind
- · We do not warrant that the Service will be uninterrupted, error-free, or completely secure
- · We are not liable for any indirect, incidental, special, consequential, or punitive damages
- · Our total aggregate liability to you will not exceed the fees paid by you to us in the 12 months preceding the claim
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
9. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately without notice if you breach these Terms, fail to pay fees, or if we are required to do so by law. Upon termination, your right to use the Service ceases and we will delete your data in accordance with our Privacy Policy.
10. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
